Exclusivity of Services
Our corporate services are offered exclusively to jurists authorized to practice law by a professional corporation and are identified with this sign:

They are executed under the control and the responsibility of the jurist who ultimately represents his or her own client. A simple phone call is usually enough to give us the information we need to make your documents. We then take over and you control our work to ensure it complies with your instructions.

A Complete Range of Services
Marque d’orTM offers you a complete range of corporate services, from incorporation to dissolution. We can act as your corporate department, communicating documents and information to the government, drafting the required documents and giving you a prompt and reliable update service.

Incorporation and Organizational Proceedings

Marque d’orTM offers various solutions to help you incorporate and organize a new legal person, profit or non-profit, in Quebec or at the federal level.

We prepare the preliminary organizational proceedings with the information available for drafting the articles of incorporation. To complete the organization, you simply have to provide us with a few additional details regarding the shareholders and some financial aspects. With the OP service, the organizational meetings are prepared, the shares are issued and the registers are up to date. All that is missing is your clients’ signature.

COMPANY OR CORPORATION (COMSTATTM)

The COMSTATTM service lets you incorporate by phone, e-mail or fax new legal persons, under provincial or federal jurisdiction, with or without a corporate name. The incorporating documents are delivered to your office by e-mail or messenger as soon as they return from the government.

This service includes:

• Preparation of the incorporating documents
• Possibility to use our schedules to the articles
• Choice of general by-laws
• Name of the firm and date of organizational proceedings in footnote
• Blank share certificates bearing the name of the legal person
• Your choice of minute book
• Advance of prescribed government fees; and
• Delivery to your offices.

ORGANIZATIONAL PROCEEDINGS 

The organizational proceedings of the company fall under the OP service. This service is available for legal persons incorporated at the federal or provincial level, profit or non-profit, pre-incorporated or not.

This service includes:

• Complete summary of the main information
• Choice of personalized general by-laws
• Banking by-laws and resolutions
• Resolutions of organization
• Preparation of registers and certificates
• Declaration of registration or initial declaration, including signature, filing,
  advance of prescribed fees and messenger service to your offices; and
• Letter to your client providing the information related to the legal person.

COMSTATTM Services (NON-PROFIT LEGAL PERSONS)

Drafting of the letters patent with or without the organizational proceedings; prescribed government fees and our fees included.

PRECOTM SERVICE – Pre-incorporated companies and corporations

Marque d’orTM offers companies or corporations pre-incorporated with a number name at various dates and having their registered office in either the Province of Quebec (PRECOTM – Federal) or in the most requested judicial districts in Quebec (PRECOTM – Quebec). PRECO™ companies or corporations are delivered with a Regis™ or Lexcase minute book. All PRECOTM companies or corporations include the following information: directors, head office, corporate name and date of incorporation. We make the necessary changes by filing the prescribed forms.

Variation of the legal personality

The list of our services exclusive to jurists indicated below is incomplete. Please call us if you need documents, resolutions or contracts for your corporate law practice.

Priority service in Quebec includes our fees of $62 and an increase of 50% (taxable) of the prescribed fees. When using the priority service for federal corporations, your documents are sent by fax and their receipt is confirmed by fax.

Our priority service fees are $75. The federal government does not increase its fees.

 Declarations To the REQ

For the drafting, the filing and the follow-up of the declarations filed with the Enterprise Registrar of Quebec. For priority service, there is a taxable increase of the government prescribed fees, meaning a minimum of $39.50 for declarations without any regular government fees charged or a 50% increase of the regular fees charged. Our priority service fees are $62.
